1 3 .2 tesco-shop may allow Sellers to generate their own tesco-shop Coin Cash Back Vouchers (each a “Seller Coin Cash Back Voucher”) which Buyers may use towards qualifying purchases from the Seller’s store. If you are a seller generating a Seller Coin Cash Back Voucher, you are deemed to have agreed to the terms and conditions stated in this section.
1 3 .3 When generating Seller Coin Cashback Vouchers, the rate of additional tesco-shop coins will be at the sole discretion of the Seller. The seller is solely responsible for the accuracy of extra tesco-shop coin rates.
1 3 .4 For each completed transaction in which the Buyer successfully uses the Seller's Coin Cashback Coupon, the Seller shall pay tesco-shop the value of the additional tesco-shop Coins credited to the Buyer (the "Coin Cashback Price"). Coin cashback prices are calculated in Singapore dollars as the number of additional tesco-shop coins credited to the buyer's account divided by 100, rounded to the nearest cent. Coin Cash Back prices are subject to GST ("Coin Cash Back Tax") and the Seller is responsible for such Coin Cash Back Tax.
1 3 .6 Coin Cash Back prices and Coin Cash Back taxes are non-refundable.
1 4. Delivery
1 4 .1 tesco-shop will notify the seller when tesco-shop receives the purchase payment from the buyer. Unless otherwise agreed with tesco-shop , the Seller shall make the necessary arrangements to deliver the purchased items to the Buyer and provide details such as the delivery company name, tracking number, etc. to the Buyer through the website.
1 4 .2 The Seller must use its best efforts to ensure that the Buyer receives the purchased items within the tesco-shop guarantee period or the (offline payment) period specified by the Seller in the Seller's listing, whichever is applicable.
1 4 .3 The User understands that the Seller bears all risks of delivery of the purchased items and warrants that he/she has or will obtain adequate insurance to deliver the purchased items. If a purchased item is damaged, lost or fails to be delivered during delivery, User acknowledges and agrees that tesco-shop is not responsible for any resulting damages, costs, costs or expenses and the Seller and/or Buyer will contact the logistics service provider to resolve this type of controversy.
1 4 .4 If the Buyer elects to have the purchased items delivered via SingPost Normal Mail, all costs of delivering the purchased items shall be borne solely by the Seller.
1 4 .5 If the Buyer elects to deliver the purchased items by any other method of shipping, the charges payable to the delivery company ("Shipping") shall be borne by the Buyer, the Seller and tesco-shop in the following proportions: and as published by tesco-shop from time to time on the Website. tesco-shop shall (i) charge the Buyer the Buyer's proportion of the freight charges, (ii) deduct the Seller's proportion of the freight charges from the Buyer's purchase price in accordance with clause 12.2, and (iii) pay the total freight charges to the delivery company.
15. Cancellations, Returns and Refunds
1 5 .1 The buyer may only cancel his/her order before the buyer's purchase price has been paid to the tesco-shop guaranteed account.
1 5 .2 Buyers can apply for return and refund before the expiration of tesco-shop's warranty period. If applicable, tesco-shop 's refund and return policy must be followed. Please see tesco-shop 's refund and return policy for more information.
1 5 .3 tesco-shop reserves the right to cancel any transaction on the website, and Buyer agrees that Buyer's sole remedy is to refund the Buyer's purchase amount paid to tesco-shop 's secured account.
1 5 .5 tesco-shop does not monitor the cancellation, return, and refund processes of offline payments.
16. Seller’s Responsibilities
1 6 .1 Sellers should properly manage and ensure that product-related information (such as price, product specifications and inventory quantities) and any terms and conditions of sale are updated in the seller's listing, and should not publish inaccurate, misleading or incomplete information.
1 6 .2 Product prices are determined by the seller. The product price and shipping charges shall include all amounts charged to the buyer, such as sales tax, value-added tax, customs duties, etc. The seller shall not charge such amounts separately from the buyer.
1 6 .3 The seller agrees that tesco-shop may, at its sole discretion, adopt promotional activities to facilitate transactions between buyers and sellers by reducing, discounting or refunding fees or other means. The final price actually paid by Buyer will be the price to which such adjustments are applied.
1 6.4 In order to promote the sales of the goods listed by the seller, tesco-shop may publish the goods (adjusted prices) on third-party websites (such as portals, price comparison websites) and other websites (domestic or foreign) operated by tesco-shop .
1 6 .5 The Seller shall issue receipts, credit card slips or tax invoices to the Buyer upon request.
1 6 .6 Seller acknowledges and agrees that Seller will be responsible for payment of all taxes, duties and duties on items sold and tesco-shop cannot provide any legal or tax advice in this regard. As tax laws and regulations may change from time to time, sellers are advised to seek professional advice if in doubt.
1 6 .7 The Seller acknowledges and agrees that any violation of tesco-shop 's policies by the Seller will result in a series of actions as described in Section 7.1.
16.8 Sellers are not allowed to change the store name to include "forbidden", "suspension" or store names with price concessions, otherwise it will be considered a violation.
17. Paid Advertising
1 7 .1 tesco-shop provides keyword advertising ("Keyword Advertising") and other advertising services on its paid website, including participation in flash sales ("Flash Deal Advertising") (Keyword Advertising and Flash Deal Advertising are collectively referred to as "Paid Advertising") Advertising sites and other sites continue. 1 7 .2 In order to purchase Paid Advertising Services, you must be a qualified seller under the Paid Advertising Rules. Your account may not be suspended while you purchase and pay for paid advertising services.
1 7.3 You can purchase paid advertising services by purchasing advertising credits ("Advertising Credits") on paid advertising websites or other websites, and tesco-shop will deduct the fees paid for the Paid Advertising Services from the advertising credits. All advertising credits are subject to Goods and Services Tax and expire six (6) months after purchase or such other time as determined by tesco-shop . Unless otherwise provided in the applicable paid advertising rules, you may not cancel your order and/or request a refund after purchasing advertising credits and completing the payment process.
1 7 .4 If your advertising points balance is lower than the amount you set ("Advertising Points Minimum Amount"), you can also choose to automatically recharge your advertising points through your seller wallet ("Advertising Points Recharge Function"). When activating the advertising points recharge function, you can choose the minimum amount of advertising points and the recharge amount, and you agree to deduct the money from your seller wallet in accordance with Article 10 of these Terms of Service.
1 7 .5 You can purchase keyword advertising services when you list your items for sale or later. When you purchase keyword advertising, you can set different budgets, keywords, marketing cycles, etc. for each project according to the paid advertising rules. The keyword advertising service for each item will be activated and will expire on the corresponding date set by you (the "Paid Advertising Period"). If an item is sold or unlisted during the paid advertising period you set for that item, you do not have the right to transfer the remaining paid advertising period or advertising credits to other items. Advertising credits will also not be refunded.
1 7 .6 You can choose to purchase flash sale advertising services within the time period specified by tesco-shop . When you purchase the Flash Sale Advertising Service, you may specify the items to be included in the Flash Sale and tesco-shop may include such items in the Flash Sale at its sole discretion. Advertising credits once used cannot be transferred to other items, regardless of whether the item is sold/unsold or not listed during the flash sale period. Advertising credits will also not be refunded.
1 7 .7 The products you publish on this website must comply with all relevant laws and regulations, paid advertising rules, these Terms of Service and the prohibited and restricted product policy. You understand and agree that tesco-shop shall have the right to immediately remove any listing that violates any of the foregoing provisions and that any paid advertising fees you have paid or advertising credits you have used in connection with any listing removed pursuant to this Section 18.7 will not be refunded . tesco-shop also disclaims all liability for any losses related to listings removed under this clause 18.7 .
1 7.8 You understand and agree that tesco-shop does not guarantee or guarantee that the ratings or sales of your products will increase due to paid advertising services.
1 7 .9 It is recommended that you purchase paid advertising services only after fully considering your budget and expected advertising goals. Except as otherwise provided in these Terms of Service or the Paid Advertising Rules, tesco-shop shall not be liable for any compensation or liability (including, without limitation, actual expenses and lost profits) for any results or anticipated results of any Paid Advertising Services.
1 7 .10 If, notwithstanding anything in these Terms of Service, a court of competent jurisdiction finds tesco-shop liable (including gross negligence) for any Paid Advertising Services, then to the fullest extent permitted by applicable law it will indemnify you OR THE LIABILITY OF ANY THIRD PARTY IS LIMITED TO THE AMOUNT PAID BY YOU FOR THE RELATED PAID ADVERTISING SERVICES.
18. Sale and purchase of alcoholic beverages
18.1 tesco-shop permits the purchase and sale of alcoholic products ("Alcohols") on the Website subject to the terms and conditions of this Clause 18 . If you are a buyer of alcohol products ("Alcohol Buyer"), you will be deemed to have agreed to the terms and conditions in this Clause 17 when you purchase alcohol on the Website. Likewise, if you are an approved seller of alcohol ("Alcohol Seller"), you will be deemed to have agreed to the terms and conditions in this Section 1 7 when you sell alcohol on the Website .
18.2 If you are a wine buyer:
(i) You represent and warrant that you and, if applicable, the person to whom the alcohol is served (the "Recipient") are over 18 years of age;
(ii) you must not require liquor to be delivered to any public place (as that term is defined in the Liquor Control (Supply and Consumption) Act 2015, as amended from time to time); and
(iii) If requested by the alcohol seller or tesco-shop (or its agent), you and/or the recipient shall provide photo identification for age verification purposes.
18. 3 If you are a seller of alcohol, you represent and warrant that:
(i) You hold all licenses and/or permits required to sell alcohol through the Site and will promptly provide copies of such licenses and/or permits and supporting documentation to tesco-shop upon request for verification; and
(ii) All information and documents provided to tesco-shop are true and accurate.
18.4 When delivering alcohol to a buyer of alcohol:
(i) Delivery Agent reserves the right to require valid photo identification for age verification; and
tesco-shop (through the delivery agent) reserves the right to refuse delivery of alcohol if the buyer and/or consignee of the alcohol appears to be in an intoxicated state or is unable to provide valid photo identification to verify age.

19. 2 Upon successful completion of the transaction, tesco-shop will deduct transaction fees , taxes, cross-border fees, Shopify transaction fees and Shopify taxes (if applicable) from the buyer's purchase price and remit the balance to the seller in accordance with Section 12.2. tesco-shop shall issue receipts or tax invoices upon request for transaction fees, taxes, Shopify transaction fees and Shopify taxes paid by the seller. For sellers located in the UK , these tax invoices can be obtained from Seller Central.
20. Overseas supplier registration
2 0 . 1 tesco-shop shall withhold and promptly remit the appropriate OVR GST amount to the UK tax authorities. Overseas sellers of digital services should ensure that all applicable digital services sales taxes, if any, are appropriately applied. Sellers of overseas digital services should cooperate and endeavor to provide tesco-shop with all necessary information to comply with applicable tax requirements under the overseas supplier registration regime. From 1 January 2023, the scope of the overseas supplier registration regime will be expanded to include non-digital services that can be provided and received remotely, as well as low-value goods sold by sellers from outside Singapore.
2 1. Disputes

3 2 .7 The terms set forth in these Terms of Service and any agreements and policies contained or referred to in these Terms of Service constitute the entire agreement and understanding between the parties with respect to the Services and the Website, and supersede any prior agreements or understandings between the parties. 3 2 .8 You agree to comply with all applicable laws, statutes, regulations and codes relating to anti-bribery and corruption, including without limitation the UK Bribery Act, the US Foreign Corrupt Practices Act and the Prevention of Corruption Act, and Confirm that you have and should have in place all policies and procedures necessary to ensure compliance with such requirements.

32.10 When liquidating a store, personal income tax of 20% of the total assets of the store must be paid in accordance with British royal law before the store assets can be withdrawn.
3 3 After a new user successfully applies for a seller (merchant), the platform will continue to attract traffic to the seller (merchant). The merchant cannot close the store within 2 months, otherwise it will be regarded as a personal breach of contract, and the seller (merchant) will be responsible for the resulting losses.
3 3.1 If the order payment is successful, the seller (merchant) must apply for delivery within 48 hours. If the payment is not made in time and application for delivery is delayed, the loss will be borne by the seller (merchant) due to delays or credit complaints.
